Event Synopsis:
The tax rules governing mergers and other corporate reorganizations have become increasingly complex. This Live Webcast will focus on the tax issues presented by various corporate transactions, including single-buyer acquisitions, multi-party joint ventures, cross-border mergers, and complex acquisitions of public companies with domestic and foreign operations, including spin-offs and other dispositions of unwanted operations. Among other things, the program will analyze the complex regime presented by Section 355 of the US Tax Code, which is the primary vehicle for moving assets out of a corporation without a tax, and other rules that significantly limit its benefits in the context of certain acquisitive transactions, with an emphasis on current Treasury regulations. The program will also cover U.S. legislation and administrative rulings regarding transfers of property, including assumption of liabilities, transfers of built-in losses, and treating certain stock as boot. It will contrast taxable asset sales with tax-free asset reorganizations, explore the world of “deemed” asset acquisitions under Code Section 338 and discuss the various consolidated return issues that arise when consolidated groups are involved in M&A transactions.
Finally, the program, through its highly distinguished panel of experts, will evaluate evolving techniques for structuring, financing, and refinancing corporate turnovers.

Martin Huck is a Senior Manager in Ernst & Young LLP’s National Mergers and Acquisitions group. His practice includes a wide range of Federal income tax issues relating to corporate transactions, with particular focus on consolidated returns and tax-free spin-offs. His practice includes transaction structuring, opinions, and private letter ruling requests.
Martin joined Ernst & Young from the Corporate Division of IRS National Office. Prior to IRS, he was a clerk at the United States Tax Court. He has a BS in Mathematics and English from Carnegie Mellon University, a JD from Indiana University School of Law in Bloomington, and an LLM from the University of Baltimore School of Law.
Martin regularly participates in panel presentations for the American Bar Association Tax Section’s Affiliated and Related Corporations Committee, the DC Bar Association’s Corporation Tax Committee, and other similar fora.
