Event Synopsis

The SEC’s Office of Corporation Finance issues interpretations of SEC disclosure requirements in guidance documents known as Compliance & Disclosure Interpretations (C&DIs). Although these staff-written interpretations, written in response to requests dealing with specific circumstances, are non-binding and informal in nature, they are closely watched as general guidance on how the SEC staff is currently interpreting U.S. securities laws. The SEC staff currently is updating and reformatting its interpretive positions, and accounting and finance staff, consultants, and corporate lawyers need to understand how to find and use the newly formatted information.

A panel of government officials and corporate disclosure experts will discuss the latest C&DI guidance and the new format in a Live two-hour Webcast presented by the Knowledge Congress.

About Colin Diamond

Colin Diamond is a partner in the Capital Markets group at White & Case. Mr. Diamond specializes in securities transactions, public mergers and acquisitions, and general corporate representations.

Mr. Diamond has significant experience representing both issuers and underwriters in connection with registered and unregistered offerings. Mr. Diamond’s work includes counseling the boards and audit committees of public companies on disclosure issues, corporate governance practices and Sarbanes-Oxley compliance. Examples include the Chapter 11 reorganization by Mirant Corporation and WCI Communities, Inc., and representation of ad-hoc committees of bondholders in reorganizations of Adelphia Communications Corporation, Washington Mutual, Inc. and Lehman Brothers, Inc., and the proposed equity investors in the reorganization of Delphi Corporation.

Mr. Diamond has had works published in Bloomberg Law Reports, Bloomberg Corporate Law Journal, Corporate Governance Advisor, Legal Week Global, Wall Street Lawyer, Insights - Corporate and Securities Law Advisor and Corporate and Financial Securities Law Report.

Mr. Diamond’s recent representations include:

- Represented Visa Inc. in connection with its $19.3 billion IPO and listing on the NYSE. The IPO was the largest in U.S. history.
-Currently representing the underwriters in the proposed U.S. IPOs of three companies.
-Represented Deutsche Bank as backstop purchaser in a $193 million rights offering by Hayes-Lemmerz International, Inc., a Michigan-based auto parts manufacturer.
-Represented Merrill Lynch, as sole book-running manager, in connection with the $240 million IPO and listing on Nasdaq of TomoTherapy, Inc., a Madison, WI-based medical device manufacturer. Subsequently represented Merrill Lynch, as sole book-running manager, in a $190 secondary offering by selling shareholders.
