KM Services, Pro-Flow Sell to UK-Based Upstream Services Company
Houston, TX, July 28, 2012 --(PR.com)-- Doeren Mayhew firm TR Moore & Company has sold its client KM Services and related business Pro-Flow Fabrication Technologies to United Kingdom-based Enteq Upstream plc.
Based in Houston, KM Services manufactures Directional Drilling and Measurement While Directional Drilling (MWD) components, while Pro-Flow fabricates MWD kit boxes and other related products. Serving the upstream oil and gas services market, Enteq’s acquisition allows the company to significantly add to its critical component offerings in the MWD technology space.
With extensive experience transacting in the manufacturing industry, the Houston investment banking team at TR Moore & Company was selected by the seller to take M&R Industries to market; handle buyer discussions and indications of interest through the signing of the letter of intent; and negotiate all aspects of the deal.
“Having worked with the CEO on a prior transaction, our client sought our particular expertise in the oil and gas manufacturing sector,” says Steven Silverman, CM&AA, director of investment banking at TR Moore & Company. “This experience combined with a thorough target search and marketing process enabled us to locate the right buyer, identify the opportunity to sell the related business, and ultimately arrive at an optimum sale price for the client.”
Jeff Dinerstein, a partner in the Haynes and Boone, LLP Houston office, advised KM Services and Pro-Flow Fabrications on the sale of its assets to Enteq, managing the transaction to close on time. In addition to negotiation assistance, Dinerstein led all transaction documents for KM Services and Pro-Flow Fabrications, including schedules, exhibits and ancillary agreements. He is part of the firm’s mergers and acquisitions practice group.
