Many people who consider buying or selling a business don’t focus on the most critical issues. There are a myriad of business, financial, legal, and other important aspects of selling and buying a business. The number and variety of issues needing consideration are almost limitless and inter-disciplinary. Important issues to consider can even include determination of the risk of floods and earthquakes near the business.

Generally, speaking sound judgment based upon a strong understanding of the law, finance, and taxation will help to ensure a sound purchase or sale of a small to medium sized business. Some issues to address include consideration of reasons for purchase, exit strategies, analyzing the market, valuation techniques, financing options, operational cost analysis, and knowing and understanding the roles of investment bankers, loan officers, attorneys, independent accountants, and guarantors, choosing a broker and an advisory team, performing due diligence, raising capital, contingent consideration, making and evaluating offers, closure, successor liabilities, indemnification risks, and the importance of having robust tax records, financial statements, and legal documents.

Important legal and regulatory issues include creating a non-disclosure agreement, letters of intent for the stock and asset purchase agreements, duration of exclusivity, structuring and negotiating merger & acquisition agreements, working with the SBA and other lending sources or venture capitalists.
