Event Synopsis:
Yearly, billions of dollars of commercial and consumer credit is provided in secured transactions governed by Article 9 of the Uniform Commercial Code (UCC). Recent changes to Article 9 affect, among other things, filing requirements, searching, and due diligence. Article 9 contains complex rules regarding the creation, perfection, and enforcement of security interests that make rendering opinions on security interests a legal risk. Counsel must consider all aspects of Article 9 as well as its interplay with other Articles of the UCC, such as Article 8 if the security interest covers certain investment property.

The panel will provide insights into strengthening best practices with respect to drafting and negotiating security agreements, drafting and rendering legal opinions in secured transactions, exercise of remedies, and interplay between Article 9 and other UCC Articles.
