About Mark F. Chadurjian
With over thirty years of experience at IBM, including twenty years as a managing executive in its IP Law department, Mark Chadurjian comes to Downs Rachlin Martin with extensive experience as a leading corporate intellectual property attorney. He was a key member of the leadership team that enabled IBM to receive (i) the highest number of US patents, issued annually, for over twenty years in a row, and (ii) hundreds of millions of dollars annually via agreements for joint technology development and patent and technology licensing.
More recently, as the senior IP lawyer for IBM’s Software Group, Mark managed the IP due diligence of dozens of acquisitions (including related follow up activities in support of integrating acquired companies into IBM), and led his team in developing innovative processes to verify the provenance of acquired computer software products. Mark knows what it takes to create a compelling portfolio of IP rights; to defend products incorporating such rights against assertions of intellectual property infringement, including obtaining licenses when warranted; to license those rights to others; and to present a compelling case for the value of the IP portfolio, and the cleanliness of code assets in an acquisition setting.

Event Synopsis:
Due to the complexity of national and international commerce and the increase in regulation and litigation, Intellectual Property Licensing Agreements (IPLA) continue to evolve in complexity and diversity.
Irrespective of whether they are licensing patents, copyrights, trade secrets, or trademarks, successful transactions are dependent upon the sound design, development, drafting, negotiation, and writing of complex IPLAs. Poorly designed and drafted agreements open companies to risk of loss of intellectual property and litigation. Professional advice from experienced counsel is critical to the success of modern IPLAs.
In this two hour, live CLE Webcast, a panel of distinguished professionals and thought leaders assembled by The Knowledge Group will help companies and legal counsel understand the latest issues, developments, and trends in Intellectual Property Licensing Agreements. Speakers will present case studies highlighting best practices for effectively managing IP licensing agreements, provide advice in negotiating contestation, and help identify and avoid the most common pitfalls that often lead to litigation.
Some of the major topics that will be covered in this course are:
· Best Practices for Patent & Technology Licensing
· Drafting Licensing Agreements
· Effective Negotiation Strategies
· Indemnities in Intellectual Property License Agreements
o Background Information
o Trigger Events
o Covered Losses
o Defense Obligations
o Exceptions
o Other Matters
· Tips for avoiding post-expiration royalty problems in light of Kimble v. Marvel Entertainment
· International Exhaustion and the potential ramifications of the Lexmark rehearing
· Licensing issues in IPRs
