Event Summary:
In February this year, the Federal Trade Commission (FTC) filed a complaint seeking an injunction to prevent Sysco Corporation from purchasing US Foods Inc., alleging that the deal would give Sysco too much influence in the food service distribution market. Again in February a federal judge ruled that American Express Co. anti-steering rules prevented merchants from encouraging their consumers to use other credit card brands and thereby violate antitrust laws.
The U.S. Department of Justice (DOJ) recently settled with Coach USA Inc. to break up a joint venture with City Sights LLC, which created a monopoly ‘hop-on / hop-off’ bus service in New York City, using a rarely used remedy of disgorgement to recover $7.5 million in profits from the defendants.
These cases typify the aggressive stance increasingly taken by antitrust agencies regarding transactions that are not reportable under the Hart-Scott-Rodino (HSR) Act. It also highlights the need for careful evaluation and preparation where there are antitrust implications since antitrust enforcers frequently investigate and challenge non-reportable transactions. Size isn’t very important either. In 2011, the DOJ challenged the purchase of a chicken processing complex worth only $3.1 million.
Parties to mergers and joint ventures should not assume that no HSR filing requirement preordains a lack of antitrust risk. Parties can mitigate risk by allocating it in the transaction agreement or by informing relevant agencies of intent prior to closing any deals. Counsel needs to advise parties about antitrust risk throughout the initial dealings and beyond closing.
