The Federal Trade Commission (FTC) announced the revised jurisdictional thresholds for reporting transactions under the Hart-Scott-Rodino Act on January 21, 2016. The minimum size-of-transaction threshold and the size-of-person threshold have both been increased. The filing fee remains the same, however, the levels that trigger larger filing fees have increased.
Correct application of the HSR Act is complex and requires a detailed and careful analysis. Failure to file a required HSR Premerger Notification can result in serious penalties.
