About R. Stephen McNeill

R. Stephen McNeill is counsel in the firm’s Bankruptcy and Restructuring practice. He focuses his practice on complex bankruptcy proceedings involving national and regional clients, including debtors, secured lenders, creditors’ committees and a variety of unsecured creditors. Steve has been involved in contesting and defending asset sales and plans of reorganization, assumption and rejection of leases and contracts, and other creditor issues including defense of preference litigation.

Steve is a co-author of a forthcoming article entitled “Waivers and Their Consequences: An Analysis of the Limitation of Fiduciary Duties in Delaware LLC Bankruptcies,” which is scheduled to be published in the Fourth issue of Volume 93 of The American Bankruptcy Law Journal. This article addresses, among other things, the potential applicability of LLC fiduciary duty waivers in bankruptcy cases.

Steve earned his J.D., cum laude, from Washington and Lee School of Law and his B.S., summa cum laude, from Auburn University at Montgomery.

About Michael P. Maxwell

Michael P. Maxwell is a partner in the firm's Business Group. He advises clients on matters of Delaware corporate and business law in transactions involving Delaware alternative entities and corporations, including investment and private equity fund transactions, fund formations, joint ventures, cross border transactions, mergers, acquisitions, asset sales and purchases, dissolutions and restructurings. He also represents both lenders and borrowers in a variety of commercial financing transactions, including asset-based financing, real estate mortgage financings and other credit related transactions. Mike also advises management, boards and special committees of Delaware entities on matters of operation and governance, including with respect to fiduciary duty and contractual interpretation issues and he provides legal opinions on issues of Delaware law in connection with the foregoing.

Mike earned his J.D. from Tulane Law School and his B.A., cum laude, from the University of Louisville.
